MERGERS & ACQUISITIONS

Our team has extensive experience with M&A transactions, both from a seller’s and a buyer’s perspective. Whether we advise a seller, a buyer, or a member of the management team, we strive to get involved at an early stage of the transaction. At this early stage, we are able to deliver maximum added value, helping clients to make important strategic decisions. We advise on various questions, such as ‘which sales process is desirable?’, ‘which transaction structure is optimal?’ and ‘what purchase price mechanism fits best?’. Clear answers to these kinds of questions contribute significantly to a time and cost-efficient M&A process.

TRIBU supports you in various M&A processes with many different services such as the organization of a limited auction, drafting non-disclosure agreements and letters of intent, due diligence investigations or legal quick scans, drafting all kinds of transaction documentation and assisting in negotiations.

We have frequently been involved in setting up ESOP’s,  management participations and bonus structures, both as an advisor to the company as well as to the management. In this role, reading and interpreting the mutual relationships is crucial, which is what we do best.

JOINT VENTURES & INVESTMENTS

TRIBU advises with respect to the structuring and disentanglement of joint ventures (50/50) as well as the acquisitions or disposal of majority or minority interests. In all cases, we aim to build a long term relationship. This entails that agreements between partners or shareholders have to be thought out meticulously and documented in a joint venture or shareholders agreement. Agreements involving the cooperation, governance and decision-making have to contribute to the relationship between both parties. This requires a tailored approach from an experienced advisor.

For many clients, it usually seems unrelevant to define the situation in which both parties want to or have to end their partnership. However, in our experience, it is sensible to make such agreements upfront to avoid disappointment or conflict at a later stage. It is our challenge to help you with this process without casting a shadow over the start of your cooperation.
